BIG GUNZ DC BY LAWS
ARTICLE I. PURPOSE
The purpose of these by-laws is to establish a governing structure for a miniature gaming club, hereafter called BIG GUNZ DC.
ARTICLE II. YEAR
The working year of BIG GUNZ DC for all purposes shall be October 1 through September 31.
ARTICLE III. GOVERNING STRUCTURE
The operation of BIG GUNZ DC shall be directed by its Officers in accordance with the provisions of these by-laws.
ARTICLE IV. OFFICERS
The Officers of BIG GUNZ DC shall be; President, Vice President, Sergeant at Arms, Hobby Director, and Treasurer. All Officers of BIG GUNZ DC shall be voting members of the body. All Officers shall be elected by simple majority of the Body of BIG GUNZ DC and will serve for the period of one year.
ARTICLE IV, SUBSET (A) Regional Officer
With the Expansion of the Club into A Multi-State Entity The BODY has agreed upon the appointment of a Regional Officer Position. This appointee will have all the rights and priviledges afforded an officer of BIG GUNZ DC. The Regional Officer duties will be outline under Article XIX
ARTICLE IV, SUBSET (B) Member of the BODY
Any prospective member of BIG GUNZ DC may become a full member after meeting the criteria set forth in Article XII and receiving a two thirds majority vote of the entire Body to admit said candidate. A full member is named a Member and becomes an active member of the Body
ARTICLE V. THE BODY
The Body of BIG GUNZ DC, which shall determine all the business of BIG GUNZ DC, shall consist of all active Members, all of whom shall have equal voting rights.
ARTICLE VI. QUORUM
The Quorum for a meeting shall be one half of the current Body. A Special Quorum may be held as long as the President or Vice president is present with one other Officer and at least three Body members. The meeting must be annotated for view by all members of the Body and Remaining Officers. A Special Quorum does NOT have voting authority but may request a vote from the Body. The rules governing a Special Quorum may not be amended.
ARTICLE VII. MINUTES, REPORTS, AND AGENDA
The Minutes of all meetings or activities of the Body shall be recorded by the Sergeant at Arms, or a chosen member in attendance, and shall be available for review at the next formal meeting of the Body.
Any Officer may receive matters for inclusion on the Agenda of a meeting of the Body not less than one calendar week before the date of the meeting. An Officer may accept matters for late inclusion on the Agenda at their discretion.
ARTICLE VIII. ANNUAL GENERAL MEETING
An Annual General Meeting of BIG GUNZ DC shall be held in September of each year. The Annual General Meeting shall receive the Reports of the Officers together with such other reports and business as the Body may decide, and the provisional accounts for the previous year, and shall elect Officers. The business of the Annual General Meeting shall be determined by the Body save those items submitted to the Officers less than one calendar week before the date of the Annual General Meeting.
ARTICLE IX. SPECIAL GENERAL MEETING
A Special General Meeting of BIG GUNZ DC may be called, at not less than two-calendar week's notice to all members. The Special General Meeting may be called by any Officer at the request of a current member of BIG GUNZ DC made in writing to the Officer, and specifying the precise nature of the business to be discussed. The Officer may choose to call or not to call a Special General Meeting based on the nature of the item to be discussed at his own discretion.
ARTICLE X. ELECTIONS
The election of Officers shall be by simple majority of the Body present at the Annual General Meetings. Proxy or written votes may be submitted in writing or via email to the current Officers. Elections shall be conducted by secret ballot in accordance with procedures established by the Body.
ARTICLE XI. INDIVIDUAL MEMBERSHIP
Membership of BIG GUNZ DC is open to any person of whatever race, color, gender, or religion who, in the opinion of the majority of the Body is qualified for membership. To apply for membership an individual need only ask or be asked by one member to be sponsored by the member and Seconded. A Member will, on request, furnish details of the qualifications, which, prima facie, seem to qualify a candidate for consideration for membership. A candidate for membership, whose request has been denied, may ask for that application to be reconsidered at the next meeting of the Body, and may at the Body's discretion be permitted to attend that part of the Body's meeting.
The Body, acting through the Officers, may admit a candidate to probationary membership pending the decision of the Body at its next meeting.
All existing and new members must agree to the BIG GUNZ DC Charter as outlined in Article XIII and these by-laws. Members MUST ATTEND at least One Meeting and One event with in the Calender year of BIG GUNZ DC.
ARTICLE XI, SUBSET (A) Probationary Membership
All Individuals entering or a part of BIG GUNZ DC may be subject to Probationary Status. Probationary Status is a three month time frame in which an individual will be monitored for inclusion or exclusion to the Club BODY. During this time frame All probationary Members fall under the purvey of the OFFICERS of BIG GUNZ DC. All Disciplinary action taken against Probationary Members must be voted upon by a majority of the Officers. Regional Officers have been given Special Dispensation Authority over their regions Probationary Members as outlined under Article XIX. All individuals Placed on Probationary Status may be kept on this status for a total of 2 periods; (6 months) if deemed necessary, after which the individual will be removed from Probationary Status and be allowed or denied entry or re-entry into the club. Individuals that have been denied entry or re-entry may resubmit a request to join the Club once all disputes have been merited out and approval from the Officers is granted. Any Individual undergoing the resubmission proccess will be subject to the Standard Probationary period again.
ARTICLE XI, SUBSET (B) Inactive members
When a member fails to meet the ONE MEETING and ONE EVENT with in a calendar year requirement as outlined in ARTICLE XI, the Member will be placed on INACTIVE STATUS. The MEMBER will be held in Inactive Status for a period of One Calander year from the time of placement after which the individual will be removed as a Member of BIG GUNZ DC.
ARTICLE XII. BIG GUNZ DC CHARTER
All members must agree to the BIG GUNZ DC Charter. All members must sign the Charter before being granted the title Member.
ARTICLE XIII. VOTING RIGHTS
All members have equal voting rights, which may be exercised in absentia through the Officers.
ARTICLE XIV. DUTIES
The Body at its discretion, may amend the duties and responsibilities of the Officers of BIG GUNZ DC.
ARTICLE XV. AMENDING BY-LAWS
The by-laws may be amended by a two-thirds majority of the full Body of entitled members voting at an Annual General Meeting, a Special General Meeting or an electronic ballot.
ARTICLE XVI. RATIFICATION
The by-laws take immediate effect when formally ratified by the Body.
ARTICLE XVII. DUES
The current dues per year from each member are $20. Dues are collected at the start of each year, as defined under ARTICLE II. Additional dues may be levied as needed by a request from the Body and passed by the Body at any General meeting. The Body may not make a call for additional dues more than twice a year. Dues may be waived on a case by case basis to be voted upon by the members of BIG GUNZ DC.
ARTICLE XVIII. COSTUMES
BIG GUNZ DC discourages dressing in Historical or Fictional costumes regardless of the venue. The intent of this is to bring miniature gaming to a level acceptable by the general public and we feel that dressing in costume promotes a negative stereotype.
ARTICLE XIX. OFFICER DUTIES
PRESIDENT
The President shall chair all meetings of the Body and shall preside at Annual, General or Special meetings of the BIG GUNZ DC.
The President shall each present a Report to the Annual General Meeting of BIG GUNZ DC.
The President shall be responsible for calling for any vote.
The President, along with the Vice President, Sergeant at Arms and Treasurer, shall tabulate the secret ballots of any vote.
The President shall be responsible for notifying a member of the results of a vote in regards to disciplinary matters.
The President will be responsible for discipline in BIG GUNZ DC.
VICE PRESIDENT
The Vice President will perform all the Presidential duties when the President is unavailable.
The Vice President can call a special quorum as per ARTICLE VI to discuss emergent matters.
The Vice President will be responsible for discipline in BIG GUNZ DC.
TREASURER
The Treasurer shall be responsible for holding club funds in escrow.
The Treasurer shall report on the club's fiscal standings and expenditures at every General meeting.
The Treasurer shall coordinate with the membership to maintain and distribute the club's event calendar and membership roster.
The Treasurer will be responsible for discipline in BIG GUNZ DC.
SERGEANT AT ARMS
The Sergeant at Arms will be responsible for maintaining the records and minutes of BIG GUNZ DC in all its activities.
The Sergeant at Arms will ensure that all recorded minutes are available for discussion at the appropriate meetings.
The Sergeant at Arms will circulate the last minutes of a Body meeting to all members of the Body within one week of a meeting, in printed form via posting on the BIG GUNZ DC website.
The Sergeant at Arms will prepare the Agenda, in consultation with the other Officers, for all Body meetings and circulate this Agenda and associated papers to the members at least one week before such a meeting.
The Sergeant at Arms will oversee, and adjudicate all votes taken by the Body.
The Sergeant at Arms will investigate all complaints received against a member. All complaints must be in writing.
The Sergeant at Arms will make a recommendation upon the completion of an investigation of any complaint. The recommendation will consist of a course of action that must be approved by all of the members of the Body, excluding the member in question.
The Sergeant at Arms will be responsible for discipline in BIG GUNZ DC.
HOBBY DIRECTOR
The Hobby Director will work with Local gaming establishments to coordinate Hobby/Crafting events with BIG GUNZ DC.
The Hobby Director will chair any COMMITTEE that is established to run events.
The Hobby Director will report to the President or Vice President of BIG GUNZ DC on events that he is monitoring or help run.
The Hobby Director will be responsible for discipline in BIG GUNZ DC.
REGIONAL OFFICER
The Regional Officer will be responsible for running and coordinating all Club activities with in his region.
The Regional Officer has Special Dispensation Authority with regard to Probationary Members for his region. The Regional Officer may by discretion appoint or dismiss applicants for Probationary Membership from his region to BIG GUNZ DC. Any Probationary Members Must be voted upon by the BODY of the club in order to become Full Members of BIG GUNZ DC. (It is highly recommended that the Probationary Members of the Region make every effort to get to know some of the Members of the BODY of BIG GUNZ DC in order to Facilitate a fair vote.)
The Regional Officer Must submit a Semi-Annual report of the Region Club activites and membership status.
The Regional Officer may in abstentia cast votes for his region through a designated Member of the BODY of BIG GUNZ DC.
The Regional Officer is responsible for the discipline of his Region Members and in BIG GUNZ DC.
